These Terms of Service (“Terms”) govern your use of Task Assistant, a productivity application for reminders, lists, an in-app calendar view, notification-backed alarms, and optional voice assistance (“the App”), developed and operated by Niche IT LLC (“we,” “us,” or “our”).
By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
You must be at least 13 years old to use the App. By using the App, you represent that you meet this requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your personal, non-commercial productivity use.
This license does not include the right to: sublicense, sell, resell, or transfer the App; modify, adapt, translate, or create derivative works based on the App; reverse engineer, decompile, or disassemble the App except as permitted by applicable law; remove or alter any proprietary notices in the App; or use the App in any way not expressly permitted by these Terms.
The App allows you to create and store reminders, lists, and other personal productivity content (“Your Content”). Dated reminders appear in the in-app Calendar and may be copied to your device calendar when permission is granted. You retain ownership of Your Content.
By using the App, you grant us a limited license to store, process, and transmit Your Content solely as necessary to provide the App’s features to you. We do not use Your Content for advertising, model training, or any purpose beyond operating the App.
You are responsible for the content you create and store in the App. You agree not to store content that is unlawful, harmful, or that violates the rights of others.
You agree not to use the App to:
The App integrates with third-party services including Railway, OpenAI, Unity LevelPlay, ironSource, Google Play, Apple, Expo, and EAS. Your use of those services is subject to their respective terms and policies. We are not responsible for the practices or content of any third-party service.
The App is ad-supported and may display ads through Unity LevelPlay and the ironSource advertising network. Ad content may be provided by Unity and its advertising partners. We are not responsible for the content of third-party ads. The current app uses a limited, non-personalized ad configuration.
We may release updates to the App from time to time, including over-the-air (OTA) updates via Expo/EAS. Some updates may be applied automatically. Continued use of the App after an update constitutes acceptance of any changes made in that update.
We do not guarantee the App will be available at all times or that any feature will remain available indefinitely. We may modify, suspend, or discontinue the App or any feature at any time without notice or liability. We will try to provide reasonable notice of significant changes when feasible.
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the App will be error-free, uninterrupted, secure, or that defects will be corrected. Reminders, alarms, and notifications depend on device settings, operating system behavior, and other factors outside our control. We are not responsible for missed reminders or notifications.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NICHE IT LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ACCESS THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) TEN U.S. DOLLARS ($10.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify and hold harmless Niche IT LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to your use of the App, Your Content, or your violation of these Terms.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the App that cannot be resolved informally shall be submitted to binding arbitration in Dallas, Texas under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims involving intellectual property or unauthorized access to the App.
The App is distributed through Google Play and/or Apple’s App Store. These Terms are between you and Niche IT LLC only, not with Google or Apple. To the extent required by Google’s or Apple’s terms, those platform terms take precedence over these Terms for matters governed by the platform.
Google and Apple are third-party beneficiaries of these Terms and may enforce them against you. Google and Apple have no obligation to provide maintenance or support for the App.
We may update these Terms from time to time. When we do, we will update the “Last updated” date. Continued use of the App after changes are posted constitutes your acceptance of the revised Terms. If the changes are material, we will make reasonable efforts to notify you (such as through an in-app notice).
We may terminate or suspend your access to the App at any time if you violate these Terms. You may stop using the App at any time. Upon termination, your license to use the App ends. You may delete your app data using the in-app Delete My App Data feature or by submitting a Data Deletion Request.
